Standard Terms and Conditions of Sale

1. Definitions

"MPMsim Ltd." refers to MPMsim Ltd., a company registered in England and Wales (company no. 7057057), VAT registered with VAT registration no. 163196208. "Licence" refers to the time-limited software Licence purchased from MPMsim Ltd. "Software" refers to the MPMsim Ltd. software product for which the Licence is purchased. "Customer" refers to the individual or entity purchasing the Licence. "EULA" refers to the End User Licence Agreement governing the use of the Software. "Website" refers to the MPMsim Ltd. website (mpmsim.com).

2. Order and Acceptance

All orders for Licences placed through the Website are subject to acceptance by MPMsim Ltd. An order confirmation email acknowledges receipt of the order but does not constitute acceptance. MPMsim Ltd. reserves the right to refuse or cancel any order at its sole discretion, including but not limited to cases of suspected fraud or pricing errors.

3. Licence Purchase

The purchase of a Licence grants the Customer a non-exclusive, non-transferable right to use the Software for a period of 365 days from the date of purchase, subject to the terms of the EULA. The terms of the licence purchased is as described on the buy page of the MPMsim Ltd. website. The full terms and conditions of the licence purchased is described in the EULA.

4. Pricing and Payment

Prices for Licences are as displayed on the Website at the time of purchase. Prices are displayed in GBP, EUR, and USD, and are calculated based on daily exchange rates. The actual amount charged may vary slightly due to fluctuations in these rates. All payments are processed through PayPal for Business and are subject to their terms and conditions. The amount billed to your account will depend on the currency of the account used for payment. If your payment account currency matches the currency selected on our website, the amount billed will be the displayed amount as calculated per daily exchange rates. If your payment account is a different currency, the amount billed will be subject to any additional currency conversion fees applied by your payment provider.

VAT: The standard VAT rate of [insert percentage]% applies to all sales within the United Kingdom. VAT rates may vary depending on the Customer's location. Applicable VAT rates will be calculated and displayed during the checkout process. For business customers within the European Union, the reverse charge mechanism may apply. Customers must provide a valid VAT registration number during the checkout process. MPMsim Ltd. will validate the provided VAT registration number. If the VAT number is invalid, standard VAT rates will apply. The customer is responsible for the accuracy of the VAT registration number provided. The customer is responsible for all applicable VAT or sales taxes. For business-to-business (B2B) customers outside the European Union, transactions may be treated as exports and may be zero-rated. Customers are responsible for any applicable import VAT or sales taxes in their own country. For business-to-consumer (B2C) sales of digital products, VAT or sales tax will be applied based on the customer's location, in accordance with the destination country's tax laws and place of supply rules. The customer is responsible for providing accurate location information.

Upon successful payment, the Customer will receive an email containing Licence login credentials and a VAT invoice. Please be aware that your payment provider or bank may apply additional currency conversion fees, which are outside of MPMsim Ltd.'s control. MPMsim Ltd. is not responsible for any additional fees or charges applied by your payment provider or bank.

5. Delivery and Access

Licence login credentials and the VAT invoice will be delivered electronically via email upon successful payment confirmation. The Customer is responsible for ensuring the accuracy of the email address provided. Access to the software itself is governed by the EULA.

6. Trial Period

MPMsim Ltd. offers a 30-day free trial of the Software, which includes limited free support. The trial period is intended to allow the Customer to assess the Software's suitability for their needs. The terms and conditions of the free trial is governed by the EULA.

7. Refunds and Warranties

All Licence sales are final and non-refundable. Due to the availability of the 30-day free trial, MPMsim Ltd. provides no additional warranties, express or implied, regarding the Software or its fitness for a particular purpose. The licence(s) purchased, and the limited free support included, are described in the EULA.

8. Support

The purchased Licence includes limited free support, as described in the EULA. The full terms and conditions of the limited support is described in the EULA.

9. Limitation of Liability

To the maximum extent permitted by law, MPMsim Ltd. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the purchase or use of the Licence or Software.

10. Governing Law

These Terms and Conditions of Sale shall be governed by and construed in accordance with the laws of England and Wales.

11. Entire Agreement

These Terms and Conditions of Sale, together with the EULA, constitute the entire agreement between MPMsim Ltd. and the Customer regarding the purchase and use of the Licence and Software.
